This Service Agreement (�Agreement�) is between ADACHI COMPUTECH SOLUTIONS, LLC (�ACS�, “AdachiCompuTech”) with a principal business address at 76 Clifton St., Edison, New Jersey 08817 and the client, the individual or single entity ordering ACS Services (�Services�) via Adachi Computech Solutions customer service call center or online (�New Service Request�). This Agreement governs the client�s purchase and use of ACS Services ordered by the client during the Client Registration Process.

Basic Responsibilities

You agree that you are a legal license holder of the software on your personal computer and your use of the Services and the internet is solely at your own risk. To receive the Services, you must confirm that you have admin or full access to your hardware and Supported programs that are the basis of the problem, and have completed a backup of any software or data that may be impacted by the Services. All information that you provide to Adachi Computech Solutions must be accurate, including your name, address, credit or charge card numbers, expiration dates or any other payment information as required by Adachi Computech Solutions. You further represent that you authorize Adachi Computech Solutions to bill the charges to the credit card that you provide to Adachi Computech Solutions, for any charges to which you consent.

Liability Release

In no event shall Adachi Computech Solutions be liable for special, incidental, or consequential damages, including, but not limited to loss of profits, revenue, data, or loss of use by client or any third party, regardless of whether a claim or action is asserted in contract or tort, and whether or not the possibility of such damages has been disclosed to Adachi Computech Solutions in advance or could have been reasonably foreseen by Adachi Computech Solutions. In the event Adachi Computech Solutions breaches any of these terms of service, or otherwise is in default of or violates any of the terms of this Agreement, the sole remedy of client shall be to recover the actual amount paid to Adachi Computech Solutions regarding the incident in question.

The Service

AdachiCompuTech support services include interaction with live technical experts who will attempt to optimize and improve the performance of Your computer system by modifying Your personal desktop or laptop software. Exemplary services include downloading and running both fee based and free software fixes, along with manually modifying and repairing Microsoft® operating systems, including Windows 7, Windows Vista, Windows XP, and Microsoft Office software, including Office 2010, Office 2007, Office 2003, and Office XP/2002 applications. Hardware, network and application support (games, business, personal productivity) beyond problem identification help is not available.  The services are only available in the English language for customers in the United States, Canada, United Kingdom, and Australia at this time.

AdachiCompuTech provides the following support:

Isolate and Rid Your Computer of malware such as pop-ups, viruses, spyware, Trojan horses, Rootkits, worms, and other undesirable programs and files.

Provide support with software firewalls and Parental Controls.

Optimize Microsoft® Windows 7, Vista, or XP operating systems and Microsoft Office 2010, Office 2007, Office 2003, or Office XP/2002 software applications to improve system performance and security.

Update Microsoft® software, apply security patches, and eliminate compatibility issues.

Answer “how to” questions related to Microsoft® Windows 7, Windows Vista, or Windows XP operating systems and Microsoft Office 2010, Office 2007, 2003, or XP/2002 software applications.

Provide hardware and software recommendations.

Provide problem identification help for hardware and network issues.

Availability of Service

Subject to the terms and conditions of this Agreement, AdachiCompuTech shall attempt to provide support services 24 hours per day, seven (7) days per week.  You agree that from time to time AdachiCompuTech services may be inaccessible or inoperable for any reason, including, without limitation:  (1) equipment failures, (2) periodic maintenance procedure or repairs which AdachiCompuTech may undertake, (3) causes beyond the control of AdachiCompuTech or which are not reasonably foreseeable by AdachiCompuTech, including without limitation, interruption or failure of telecommunication or digital transmission lines, hostile network attacks, network congestion or other failures.

Pricing and Fee Structure

Adachi Computech Solutions fees and charges for the Services you request are disclosed to you during the ordering process and are available on the Adachi Computech Solutions website unless otherwise provided for in this Agreement.

Missed Appointments

If You schedule an appointment with Adachi Computech Solutions service representatives on a particular day and time and You do not contact Adachi Computech Solutions within a minimum of two (2) hours prior to Your appointment to cancel or otherwise reschedule Your appointment, You will be charged, at Adachi Computech Solutions� option, a twenty-five dollar (U.S. $25.00) (or equivalent amount in the applicable currency) missed appointment fee.

Payment for the Services

You agree to pay Adachi Computech Solutions the charges applicable to the Services you request, as well as any applicable taxes and other charges, including but not limited to activation fees, minimum service fees, prorated minutes, no-show fees, fail to cancel fees, termination fees, set-up fees and other nonrecurring charges. You also agree to pay any additional charges or fees applied to your billing account for any reason, including but not limited to, interest, and charges due to insufficient credit or insufficient funds. Set up fees, activation fees, installation fees and other non-recurring fees, if applicable, shall be included in your first bill. Monthly recurring charges (subscription plans) shall be billed one month in advance; usage charges, if applicable, shall be billed in arrears, and pre-purchase plans shall be billed in advance, if applicable. Adachi Computech Solutions or its agents shall bill you directly, or charge your credit card, as you have requested and as approved by Adachi Computech Solutions. Adachi Computech Solutions does not accept debit cards as payment for any services.

Payment Method

You agree to provide and maintain a valid credit card or debit card on file with AdachiCompuTech to purchase services.  If You select a monthly payment plan, You will be billed in advance each month on the date You purchased service for the next month’s service.  You agree to keep a valid credit or debit card on file in the AdachiCompuTech website throughout the term of this Agreement.

Payment Plans

Most Plans require payment of a one-time, up-front activation fee.

Annual Plans: A twelve month service agreement with a one-time, up-front payment.

Monthly Plans:  A twelve month service agreement paid in monthly installments.

Per-Minute Plans: Service is charged on a per-minute basis and may require You to purchase a minimum number of minutes in advance.  Prior to initiating service, a credit card or debit card authorization will be required.  Time is accrued and billable the entire time AdachiCompuTech is connected to Your computer, researching Your problem, or communicating with You via email or on the telephone.  AdachiCompuTech shall cease work and bill all accrued per-minute charges upon resolution of Your issue or at any time upon Your verbal request over the phone or written request via email.

Service Renewal

Your initial service agreement is for a twelve month period.  If You selected a monthly payment plan, Your service will automatically be renewed following the initial term on a month-to-month basis.  Monthly charges will continue until You provide written notice to AdachiCompuTech that You wish to cancel Your service.  If You selected an annual payment plan, Your service will automatically be renewed following the anniversary of the inital term for the following year. You must cancel the service within 24 hours prior to your 1 year service anniversary to avoid automatic renewal. Once the service is renewed, no refunds will be issued.

On-Site Service

Adachi Computech Solutions hires independent contractors (“AdachiCompuTech Contractor”) to conduct the in-home services.  Adachi Computech Solutions is not responsible for the AdachiCompuTech Contractor services, results or lack of results, and Adachi Computech Solutions assumes no liability whatsoever for the AdachiCompuTech Contractor’s actions.  Adachi Computech Solutions merely helps to schedule appointments and Adachi Computech Solutions collects fees.

Fees: AdachiCompuTech Contractors provide on-site support at a fee of $125.95 per hour which is unrelated and in addition to the AdachiCompuTech remote subscription service.

Service Availability & Appointments: AdachiCompuTech Contractors want to be there when You need them. They are available 7 days a week. Standard in-home service appointment hours are each day, 9 AM to 5 PM Your local time. Our toll-free sales support center 1-866-607-2321 is available daily. Additional charges may apply for urgent or rapid responses, or for service outside of standard hours.

Third Parties: Adachi Computech Solutions reserves the right to deliver all services via independent and authorized third-party service representatives and technicians, called AdachiCompuTech Contractors. Services are limited to one trip unless otherwise noted, and to a total on-site duration agreed to when Adachi Computech Solutions arranges the appointment with the customer.  Additional charges may be incurred for multiple trips, extended distance (beyond standard metropolitan areas as determined by Adachi Computech Solutions) -including rural or limited access areas, or extended time.

Service Authorization: For all In-home Support Services, a person at least 18 years of age must be present during the entire time period services are provided. If no adult is present at the appointment time arrival, services will be denied and a cancellation charge will be assessed.

Additional Services, Parts, and Charges: In some cases, depending on the service You purchased and the recommended remedy, additional parts or software may be required in order to provide a solution. AdachiCompuTech Contractors will provide an estimate of such additional charges to You prior to performing work that requires an additional charge. You may opt to discontinue service at that time, however service charges still apply for all service provided up to that point. Payments for additional charges are payable by credit card.

Return Check Policy

There will be a $25.00 service charge per check returned unpaid. Please note that the issuing party may be held liable for three times the amount of the check plus the maximum penalties allowable by law. If funds are not made good within 15 days, accounts will be turned over to Adachi Computech Solutions� attorney for prosecution to the full extent of the law.

Late Fees

If any portion of your bill is not paid by the due date, Adachi Computech Solutions shall have the right to charge you a late fee on unpaid balances and may also suspend or terminate your Services without notice. The late fees shall be the lesser of one and one-half percent (1.5 %) per month, or the highest rate permitted by law. In the event Adachi Computech Solutions utilizes a collection agency or resorts to legal action to recover monies due, you shall reimburse Adachi Computech Solutions for all expenses incurred to recover such monies, including reasonable attorneys’ fees.

Client Satisfaction Guarantees

All services include a 7 day guarantee from date of original service. If you are not completely satisfied with any Adachi Computech Solutions Services, Adachi Computech Solutions will, upon your written request, provide you with two help sessions or refund the money you have paid to Adachi Computech Solutions, so long as Adachi Computech Solutions receives such written request within seven (7) calendar days. Any refund will be limited to the amount paid by you. Fees will be refunded if Adachi Computech Solutions is unable to solve your problem. Once an order has been placed, it’s the sole discretion of Adachi Computech Solutions to decide whether or not we can resolve the problem. In some instances, it may be required for you to obtain hardware at the request of the technician. In these instances, your ticket will remain open for 7 days in order for you to obtain the hardware needed to complete the service. Failure to obtain and/or call Adachi Computech Solutions back to complete the service does not constitute Adachi Computech Solutions not being able to solve your problem and fees will not be refunded. In other instances, your original Windows installation disk and/or third party application software will be required to resolve your issue. In these instances, your ticket will remain open for 7 days in order for you to obtain a replacement disk. Failure to obtain or the absence of this disk does not constitute Adachi Computech Solutions not being able to solve your problem and fees will not be refunded.


This Agreement shall be construed in accordance with the laws of the State of New Jersey.
